CONSTITUTION 

To preserve and foster for the benefit of the people of the Province of Ontario the traditions, history and culture of the area comprising the said City of Kingston, the County of Frontenac, Loyalist Township, the Town of Gananoque and the Township of Leeds and the Thousand Islands.

I. PURPOSES AND OBJECTIVES

(a) To acquire, and whether or not having acquired, to preserve or restore historical monuments, buildings, sites, locations, areas, and/or objects located in the County of Frontenac.

(b) To receive, maintain, and administer a fund or funds and to apply from time to time all or part thereof and the income there from within the Province of Ontario for the purpose of the Corporation.

(c) To use, apply, give, devote, or distribute from time to time all of part of the fund or funds of the Corporation and the income there from for the encouragement of public interest in the architectural and general history of the County of Frontenac.

(d) To apply, use, give, devote, or distribute from time to time all of part of the fund or funds of the Corporation and the income there from to aid the activities of any individuals, agencies, or institutions whose purpose is the promotion of the public interest in the history of the area.

(e) For the further attainment of such objects to acquire, accept, solicit, or receive by purchase, lease, contract, donation, legacy, gift, grant, bequest or otherwise any kind or real or personal property and to enter into and carry out agreements, contracts, and to undertaking incidental thereto.

(f) To the further attainment of such objects to hold, manage, sell or convert any of the real personal property from time to time owned by the Corporation and to invest and reinvest any principal in investments authorized by law for the investments of trust funds, and to retain any real or personal property in the form in which it may be when received by the Corporation for such length of time as may be deemed best.

(g) For the further attainment of the above objects, to employ and pay such assistants, clerks, agents, representatives and employees and to procure equipment and maintain such offices and other facilities and to incur reasonable expense as may be necessary.

(h) To conduct campaigns for raising funds and to accept contributions from individuals, corporations, foundations and organizations.

(i) To print, edit, publish, make display and sell books, magazines, pictures, films and slides, as may be necessary or desirable to the accomplishment of the purposes of the Corporation.

(j) To bill, sell and generally deal in appropriate and related souvenirs, curios, mementos and publications.

II. THE HEAD OFFICEof the Corporation shall be situated in the City of Kingston.

III. MANAGEMENT of the Corporation shall be vested in a Board of Directors who shall be elected by the members at the annual meeting of the Corporation. The Directors shall serve without compensation; their term of office shall be three years and shall be eligible for re-election. The first Directors shall serve the following terms: four for three years, three for two years and three for one year.

IV. OFFICERS of the Corporation shall be the President, a Vice President, a Secretary and a Treasurer who shall be elected annually by and from the Board of Directors.

V. THERE SHALL BE COMMITTEES as the Board shall deem proper and expedient; the Chair and membership of which shall be named by the President. The personnel may or may not be members of the Board.

VI. THE FISCAL YEAR shall be the calendar year.

VII. MEMBERSHIP shall be open to all persons, corporate or natural, interested in the objects of the Corporation. The membership categories, membership meetings, and the constitution of a quorum being subject to all the provisions set forth in the By-Laws. The Mayor of Kingston, the Chair of Frontenac County, the Reeve of Loyalist Township and the Chair of Kingston Municipal Heritage Committee (LACAC), and the President of the Kingston Historical Society shall be ex-officio members of the corporation.

VIII. THE CORPORATION shall be carried on without the purpose of gain for its members, and any profit or other accretions shall be used to promote the objects of the Corporations.

IX. AMENDMENTS AND BY-LAWS. The Directors shall have the power to make and alter the By-Laws and to propose amendments to the Letters of Patent and shall present them to the next general meeting for confirmation.

X. THE INITIAL DIRECTORS shall be the incorporators of the FRONTENAC HERITAGE FOUNDATION.
